These Terms of Service (the “Agreement”) govern your access to and use of the websites, products, and services (collectively, the “Services”) provided by Host4Geeks LLC, a limited liability company organized under the laws of the State of Wyoming, United States of America, with its principal place of business at 340 S Lemon Ave, Walnut, CA 91789 (“Host4Geeks,” “we,” “us,” or “our”).

By signing up for, accessing, or using any of the Services, you (“Customer,” “you,” or “your”) acknowledge that you have read, understood, and agree to be bound by this Agreement, together with our Acceptable Use Policy, Privacy Policy, Refund & Billing Policy, and Service Level Agreement, each of which is incorporated by reference. If you do not agree, you must not use the Services.

This Agreement is a legally binding contract. If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case “you” refers to that entity.

1. Definitions

ContentAny data, software, code, files, images, text, audio, video, or other materials that you, your end users, or third parties acting on your behalf transmit to, store on, or process through the Services.
OrderAny subscription, configuration, or purchase placed by you for Services, whether through the website, client portal, sales team, or API.
ServicesAll hosting, infrastructure, software, and related services offered by Host4Geeks, including but not limited to shared, reseller, semi-dedicated, VPS (managed and unmanaged), dedicated server, application, WordPress, email, domain registration, SSL, backup, and support services.

2. Acceptance and Eligibility

You must be at least eighteen (18) years of age and capable of forming a legally binding contract under applicable law to use the Services. By creating an Account, you represent that all information you provide is accurate, current, and complete, and that you will keep it accurate, current, and complete at all times.

Host4Geeks reserves the right to refuse service, terminate accounts, or cancel orders at our sole discretion, including where required to comply with applicable laws or where we determine, in our reasonable judgment, that continued service would pose a risk to our network, our customers, or third parties.

3. Account Registration and Security

To purchase or use most Services, you must register for an Account. You are responsible for:

  • Maintaining the confidentiality of your Account credentials, including passwords, API keys, and any two-factor authentication codes.
  • All activities that occur under your Account, whether or not authorized by you.
  • Notifying us immediately at [email protected] of any unauthorized access, suspected breach, or other security incident affecting your Account.
  • Providing accurate contact, billing, and tax information and updating it promptly when it changes.

Host4Geeks is not liable for any loss or damage arising from your failure to comply with this section. We may, at our discretion, require additional verification before activating or restoring access to an Account.

4. Description of Services

Host4Geeks provides web hosting and related infrastructure services. Specific features, resource allocations, technical specifications, and limitations applicable to your Services are described on the relevant product page, in your Order, or in the client portal at the time of purchase. Resource usage limits (including but not limited to CPU, RAM, storage, bandwidth, inodes, IOPS, and entry-process counts) are defined per plan and may be enforced through throttling, suspension, or upgrade requirements as described in the Acceptable Use Policy.

We reserve the right to modify, enhance, or discontinue any feature or aspect of the Services at any time. Where a change materially and adversely affects you, we will use commercially reasonable efforts to provide at least thirty (30) days’ prior notice by email or through the client portal.

5. Fees, Billing, and Auto-Renewal

5.1 Fees

All fees are quoted and payable in United States Dollars (USD) unless expressly stated otherwise. Fees are exclusive of all applicable taxes, levies, or duties imposed by taxing authorities (including but not limited to sales tax, VAT, and GST), which are your responsibility and which we will collect where required by law.

5.2 Payment Methods

We accept payment by major credit and debit cards, PayPal, and supported cryptocurrencies (processed via Plisio). You authorize us, and our payment processors, to charge your selected payment method for all fees due, including recurring renewal fees, upgrades, overages, and applicable taxes.

5.3 Auto-Renewal

All subscription Services renew automatically at the end of each Billing Cycle for a successive term of equal length at the then-current renewal rate, unless cancelled in accordance with Section 9 (Cancellation and Termination). Renewal invoices are generated fourteen (14) days before the renewal date and sent to the email address on file. By placing an Order, you expressly authorize us to charge your payment method for these recurring renewals without further authorization until you cancel.

5.4 Late Payment, Suspension, and Termination for Non-Payment

If we are unable to collect payment by the due date stated on your invoice, the following will apply:

  • Grace period: You will have three (3) calendar days from the due date to settle the invoice before Services associated with the unpaid invoice are suspended.
  • Suspension: After the grace period, Services may be suspended without further notice. Suspended Services remain billable and may incur a reactivation fee.
  • Termination: If the invoice remains unpaid five (5) calendar days after the due date, the associated Services may be terminated and all data permanently deleted. Host4Geeks shall have no obligation to retain or recover data following termination.

You agree to reimburse Host4Geeks for all reasonable costs incurred in collecting overdue amounts, including legal fees and collection agency fees, where permitted by law.

5.5 Price Changes

Host4Geeks may modify pricing for Services at any time. For active subscriptions, any price increase will not take effect until your next renewal and you will receive prior notice in your renewal invoice. We do not increase prices for the duration of any pre-paid term you have already purchased.

6. Refunds

Refunds are governed by our Refund & Billing Policy, which is incorporated into this Agreement by reference. In summary:

  • Eligible Services purchased for the first time may be refunded in full if a written refund request is received within seven (7) calendar days of the initial purchase.
  • No refunds, pro-rata or otherwise, are issued after the seven-day window. Cancellation after this period stops future renewals but does not generate a refund for the remainder of the current term.
  • Domain name registrations, transfers, and renewals are non-refundable once initiated.
  • Third-party software licenses (including but not limited to cPanel, Plesk, LiteSpeed, Windows OS, CloudLinux, JetBackup, Imunify360, and SSL certificates) are non-refundable once activated or provisioned.
  • Refunds are issued to the original payment source only. Cryptocurrency payments are refunded as account credit at the originally paid USD value.

7. Customer Obligations and Content

You retain ownership of your Content. You are solely responsible for your Content and for ensuring that your use of the Services complies with this Agreement, the Acceptable Use Policy, and all applicable laws and regulations of any jurisdiction in which you, your end users, or your Content may be located.

By using the Services, you grant Host4Geeks a limited, non-exclusive, royalty-free, worldwide license to host, store, transmit, copy, display, and otherwise process your Content solely to the extent necessary to provide, secure, and support the Services and to comply with legal obligations.

You represent and warrant that you have all rights, licenses, consents, and permissions necessary to upload, store, and process your Content through the Services, and that your Content does not infringe any third-party rights or violate any applicable law.

8. Acceptable Use

Your use of the Services is governed by our Acceptable Use Policy (AUP), which is incorporated into this Agreement by reference. Violation of the AUP is a material breach of this Agreement and may result in immediate suspension or termination of Services without refund. Prohibited activities include but are not limited to: distribution of spam, malware, or phishing content; copyright infringement; child sexual abuse material; unauthorized cryptocurrency mining; resource abuse; and unlawful or fraudulent activity.

9. Cancellation and Termination

9.1 Cancellation by Customer

You may cancel any Service at any time through the client portal. To prevent the next automatic renewal, your cancellation request must be submitted at least one (1) full Billing Cycle before the next renewal date for monthly plans, or before the renewal invoice is generated (fourteen days prior) for longer terms. Cancellation takes effect at the end of the current paid term unless you specify immediate cancellation. Refer to Section 6 and the Refund & Billing Policy for refund eligibility.

9.2 Termination by Host4Geeks

We may suspend or terminate your Account or any Service immediately, without notice and without refund, if:

  • You materially breach this Agreement or any incorporated policy, including the Acceptable Use Policy.
  • You fail to pay fees when due, subject to the timelines in Section 5.4.
  • Your use of the Services poses a security, legal, or operational risk to Host4Geeks, our network, our customers, or third parties.
  • We are required to do so by law, court order, or instruction from a competent authority.
  • You provide false, misleading, or incomplete information at sign-up or during your relationship with us.

Host4Geeks may also terminate your Services for convenience by providing at least thirty (30) days’ written notice, in which case any unused prepaid fees for the affected Services will be refunded on a pro-rata basis.

9.3 Effect of Termination

Upon termination for any reason, your right to access and use the Services ceases immediately. Following termination, hosting data is permanently deleted in accordance with our Privacy Policy. You are responsible for retrieving and backing up your data before the effective date of termination. Sections that by their nature should survive termination (including payment obligations, intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.

10. Service Level Agreement

Host4Geeks targets a 99.9% network and server uptime for production Services as set out in our Service Level Agreement (the “SLA”). Service credits are the sole and exclusive remedy for failure to meet the SLA. SLA credits must be claimed by submitting a ticket to the billing department through the client portal within five (5) days of the reported incident. Credits do not entitle you to a cash refund.

Downtime caused by the following events does not count toward SLA calculations: DDoS attacks; scheduled maintenance; downtime due to unpaid invoices, AUP violations, or abuse reports; ISP or customer-side connectivity issues; customer-controlled downtime; force majeure events; and, for VPS and dedicated services, internal application services such as MySQL, Apache, PHP, and similar.

11. Backups and Data Responsibility

Host4Geeks may, as a courtesy, provide periodic backups of certain Services. These courtesy backups are provided “as-is,” without warranty of any kind, and should not be relied upon as your primary data protection mechanism. You are solely responsible for maintaining independent, complete, and current backups of your Content. Host4Geeks shall have no liability for any loss of data, including loss of data resulting from failed backups, corrupted backups, or unavailability of backups, regardless of cause.

12. Third-Party Services and Software

The Services may incorporate or interoperate with third-party software, products, or services (for example, control panels, security suites, payment processors, and CDN providers). Your use of such third-party offerings may be subject to additional terms imposed by the third party. Host4Geeks does not control, and is not responsible for, the availability, performance, or content of third-party services.

13. Intellectual Property

As between you and Host4Geeks, Host4Geeks (and its licensors) owns all right, title, and interest in and to the Services, the Host4Geeks websites, the client portal, the Host4Geeks name and logo, and all related intellectual property. Nothing in this Agreement grants you any right, title, or interest in any Host4Geeks intellectual property other than the limited right to use the Services in accordance with this Agreement.

You may not: (a) copy, modify, or create derivative works of the Services or any Host4Geeks intellectual property; (b) reverse engineer, decompile, or attempt to discover the source code or underlying ideas of the Services, except to the extent applicable law expressly permits; (c) remove or alter any proprietary notices; or (d) use any Host4Geeks trademark without our prior written consent.

14. Confidentiality

Each party may receive non-public, confidential, or proprietary information from the other in connection with this Agreement (“Confidential Information”). Each party agrees to protect the other party’s Confidential Information with the same degree of care it uses to protect its own confidential information of similar importance, and in no event with less than reasonable care, and to use it only for purposes of performing under this Agreement.

15. Disclaimers

EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. HOST4GEEKS DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM HARMFUL COMPONENTS, OR THAT ANY CONTENT WILL BE PRESERVED WITHOUT LOSS. YOU ACKNOWLEDGE THAT HOSTING SERVICES INVOLVE INHERENT RISKS, INCLUDING THE RISK OF DATA LOSS, AND YOU ASSUME THESE RISKS.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL HOST4GEEKS, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF HOST4GEEKS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE TOTAL AGGREGATE LIABILITY OF HOST4GEEKS UNDER THIS AGREEMENT, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE AMOUNTS ACTUALLY PAID BY YOU TO HOST4GEEKS FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the foregoing limitations apply only to the maximum extent permitted by applicable law.

17. Indemnification

You agree to defend, indemnify, and hold harmless Host4Geeks, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to: (a) your Content; (b) your use of or access to the Services; (c) your violation of this Agreement or any incorporated policy; (d) your violation of any third-party right, including any intellectual property, publicity, or privacy right; or (e) any claim that your Content caused damage to a third party.

18. Force Majeure

Host4Geeks shall not be liable for any delay or failure in performance caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, fire, flood, earthquake, war, terrorism, civil unrest, pandemic, government action, labor disputes, internet or telecommunications failures, denial-of-service attacks, or actions of upstream providers.

19. Modifications to the Agreement

We may update this Agreement from time to time. The “Last Updated” date at the top of this document reflects the most recent revision. For material changes, we will provide at least thirty (30) days’ notice by email or through the client portal. Your continued use of the Services after the effective date of any change constitutes your acceptance of the updated Agreement. If you do not agree to a change, your sole remedy is to cancel the affected Services before the effective date.

20. Governing Law and Dispute Resolution

This Agreement, and any dispute arising out of or relating to it or the Services, is governed by the laws of the State of Wyoming, United States of America, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Subject to the arbitration provision below, the state and federal courts located in Wyoming shall have exclusive jurisdiction over any dispute that is not subject to arbitration, and each party irrevocably submits to the personal jurisdiction of such courts and waives any objection based on venue or forum non conveniens.

20.1 Informal Resolution

Before initiating any formal proceeding, the parties shall first attempt in good faith to resolve any dispute by written notice to the other party describing the nature and basis of the claim, followed by at least thirty (30) days of good-faith negotiation.

20.2 Binding Arbitration; Class Waiver

Any unresolved dispute shall be finally resolved by binding arbitration administered in Wyoming under the rules of a recognized arbitration body selected by mutual agreement (or, failing such agreement, by Host4Geeks), in the English language, by a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction. EACH PARTY WAIVES ANY RIGHT TO PARTICIPATE IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. Notwithstanding the foregoing, either party may bring an individual action in small-claims court, and either party may seek injunctive or other equitable relief in court to protect its intellectual property rights or confidential information.

21. General Provisions

21.1 Entire Agreement

This Agreement, together with the Acceptable Use Policy, Privacy Policy, Refund & Billing Policy, Service Level Agreement, and any Order, constitutes the entire agreement between the parties with respect to the Services and supersedes all prior or contemporaneous understandings.

21.2 Assignment

You may not assign or transfer this Agreement, by operation of law or otherwise, without our prior written consent. Host4Geeks may assign this Agreement freely, including in connection with a merger, acquisition, or sale of assets.

21.3 Severability

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

21.4 Waiver

The failure of either party to enforce any right or provision of this Agreement shall not be deemed a waiver of such right or provision.

21.5 Notices

Notices to Host4Geeks must be sent to [email protected]. Notices to you will be sent to the email address on file in your Account and are effective upon transmission.

21.6 Relationship of the Parties

The parties are independent contractors. Nothing in this Agreement creates any agency, partnership, joint venture, or employment relationship.

21.7 Headings

Headings are for convenience only and have no legal effect on the interpretation of this Agreement.

Overview

The use of services provided by Host4Geeks LLC on host4geeks.com (after this referred to as “Host4Geeks”) constitutes agreement to the following Terms and Conditions.

General Terms

We make no representation that the domain name you wish to register is capable of being registered by or for you or that it will be registered in your name. You should not assume registration of your requested domain name(s) until you have been notified that it has been registered.

The registration and use of your domain name is subject to the terms and conditions of use applied by the relevant naming authority; ICANN in the case of .COM/NET/ORG and other regional domain authorities for the various country specific domains, you shall ensure that you are aware of those terms and conditions and that you comply with them. You shall have no right to bring any claim against us in respect of refusal to register a domain name. Any administration charge paid by you to us shall be non-refundable inspite of refusal by the naming authority to register your desired name.

We shall have no liability in respect of the use by you of any domain name; any dispute between you and any other person must be resolved between the parties concerned in such dispute. If any such dispute arises, we shall be entitled, at our discretion and without giving any reason, to withhold, suspend or cancel the domain name. We shall also be entitled to make representations to the relevant naming authority but will not be obliged to take part in any such dispute.

We shall not release any domain to another provider unless full payment for that domain has been received by us. All charges payable by you for the Services shall be in accordance with the scale of charges and rates published from time to time by us on our web site and shall be due and payable in advance of our service provision.

Without prejudice to our other rights and remedies under this Agreement, if any sum payable is not paid on or before the due date, we shall be entitled to suspend the services provided to you.

You shall indemnify us and keep us indemnified and hold us harmless from and against any breach by you of these terms of business and any claim brought against us by a third party resulting from the provision of Services by us to you and your use of the Services.

If you fail to pay any sums due to us as they become due, we may suspend the Services and/or terminate this Agreement forthwith without notice to you.

If you break any of these terms and conditions and you fail to correct the breach within seven (7) days following written notice from us specifying the breach, we may terminate this Agreement forthwith.

If you are a company and you go into insolvent liquidation or suffer the appointment of an administrator or administrative receiver or enter into a voluntary arrangement with your creditors, we shall be entitled to terminate this Agreement forthwith.

On termination of this Agreement or suspension of the Services we shall be entitled immediately to block your Web Site and to remove all data located on it. We shall be entitled to delete all such data but we may, at our discretion, hold such data for such period as we may decide to allow you to collect it at your expense, subject to payment in full of any amounts withstanding and payable to us.

Host4Geeks is not responsible for any damages your business may suffer. Host4Geeks does not make implied or written warranties for any of our services. Host4Geeks denies any warranty or merchantability for a specific purpose. This includes loss of data resulting from delays, non-deliveries, wrong delivery, and any and all service interruptions caused by Host4Geeks.

Host4Geeks reserves the right to refuse service to anyone.

Refund Policy

All services rendered by Host4Geeks are non-refundable. This includes, but is not limited to: setup fees, one time fees, monthly service fees, upgrade fees, additional service fees, administrative fees, and late fees. Customer agrees not to chargeback or dispute any credit card or PayPal payments for services rendered. A chargeback or dispute of payment for services rendered will result in an additional charge of one hundred fifty dollars (“$150”) and will be subject to collection by an authorized collection agency. Disputes or chargebacks will result in immediate service termination. Customer is responsible for any fees and costs (including, but not limited to, reasonable attorneys’ fees, court costs and collection agency fees) incurred in enforcing collection.

Any funds sent to Host4Geeks which are in excess of the amount owed can only be reimbursed in credit and cannot be refunded.

Delivery of Services

Immediately upon successful payment you will receive an automated receipt from our systems. Please print and retain a copy of this and retain in a safe place for future reference.

Your unique email will be on this receipt and should be used for any enquires to Host4Geeks.

Please note that we aim to deliver all goods as soon as the signup is complete. If we will be unable to adhere to this you will be informed via email or telephone or both. Payment will be deducted when services are delivered.

Host4Geeks aims to respond to all enquiries within 24 hours.

Please check regulations in the country you are in to see if these products are allowed for import into your country.

We will not add charges to customers using either VISA or Mastercard card schemes. The final price will be the same regardless of payment method

Host4Geeks may perform additional verification on orders via telephone, SMS or other fraud detection systems.

General Terms and Policies

The Service is provided to authorised persons or organisations (referred to in this document as “Subscriber” or “you”). Any use of the service is subject to any restrictions listed below. By using the Service, you agree to be bound by all of these Terms and Policies. If you do not agree to be bound by these Terms and Policies, you must cancel your account immediately and may not thereafter use or attempt to use the Service.

Coverage – If you are an individual Subscriber, these Terms and Policies apply to all persons who gain access through your account. If you are a commercial Subscriber, these Terms and Policies apply to all your employees, agents and/or customers. In either instance, a violation of these Terms and Policies by anyone using your account will be treated as a violation by you.

Prices and Charges – Host4Geeks provides the use of cPanel and backyard to you free of charge, but if through misuse or through abuse on your part we incur any charges, we reserve the right to pass these charges on to you.

Term – The Service is provided to you for as long as you wish to use it, however we withhold the right to terminate the service if you use it in a way that violates the terms of use. Certain products and services such as Colocation, IP Transit, Private Cloud, Public Cloud or any customized offering is offered under a contractual term of 24 months, unless otherwise explicitly stated. Such contracts if terminated early will incur an early termination fee of no less than 50% of the remaining term of service.

Acceptable Usage Policy

It is acknowledged by users of Host4Geeks services that these resource allotments are optimized and dedicated towards serving web documents and self-need email / FTP services and is not to be used as offsite storage area for electronic files, or as a provisioning service for third party email or FTP hosts. All downloadable files or files stored on the server must be available for download via a HTML document stored on the Internet in a publicly or privately accessible area, and must be directly related to the general nature of the website index. Illegal content such as pirated software, music or other media are strictly prohibited and are not allowed on Host4Geeks servers.

Shared & Reseller Services:

Resources such as MySQL databases, subdomains, POP3 mail accounts, SMTP mail accounts, FTP accounts should not be used and created in such a way that can potentially have adverse effects on the normal optimal operation of our services.

Accounts should not exceed the limits as enforced by CloudLinux on our servers :

  • CPU Usage: As stated on plan
  • pMEM: As stated on plan
  • vMem: As stated on plan
  • Entry Processes: As stated on plan
  • I/O: As stated on plan


Semi-Dedicated Services:

Resources such as MySQL databases, subdomains, POP3 mail accounts, SMTP mail accounts, FTP accounts should not be used and created in such a way that can potentially have adverse effects on the normal optimal operation of our services.

Accounts should not exceed the limits as enforced by CloudLinux on our servers :

  • CPU Usage: As stated on plan
  • pMEM: As stated on plan
  • vMem: As stated on plan
  • Entry Processes: As stated on plan
  • I/O: As stated on plan


Virtual Private Servers:

If Host4Geeks in good faith believes your resource usage (CPU / hard drive and network connectivity usage) is and/or will potentially have negative effects on the normal optimal operation of our normal optimal operation of our services, we reserve the right to request you to upgrade to a dedicated server or a higher plan.

User may not:

  • Run stand-alone, unattended server-side processes at any point in time on the server. This includes any and all daemons, such as IRCD.
  • Run any software that interfaces with an IRC (Internet Relay Chat) network.
  • Run any bit torrent application, tracker, or client. Participate in any file-sharing/peer-to-peer activities
  • Run any gaming servers such as counter-strike, half-life, battlefield, etc
  • Run cron entries with intervals of less than 15 minutes. File quota limits are enforced to ensure system operating integrity and reliability and are limited to 300,000 files on Linux plans. The intention of Host4Geeks is to provide ample resources for customer convenience, so that customers needn’t to worry about exceeding limits.


It is also acknowledged by users of Host4Geeks services that these resources are limited by physical restraints of technology as well as by reasonable limits of a shared resource environment. Users must realize that server technology limits the amount of available resources for use, including but not limited to disk drive space, CPU processing power, memory and access speed. Host4Geeks takes measures to utilize the latest and most economically feasible mass server market technology available to provide services. It is furthermore acknowledged by users of Host4Geeks services that all provided services are of a shared-server nature, and other users are sharing the provided space. Customer accounts are placed on a server with up to hundreds of other users. Host4Geeks, along with many other hosting providers use this business model in order to offer web hosting services en masse at inexpensive and affordable rates.

It is acknowledged that any single account is entitled to utilize the server resources, within reason, up to what is allotted or by what is physically available. If resources become scarce,Host4Geeks reserves the right to limit users of the affected machine to a lower limit to preserve the effectiveness of the service for all users. If a particular user is in extreme excess of what the average users of the machine have in use (actually used) of their resource allotments, that customer may be asked to remove content, cut resource usage, or relocate to a dedicated service provider. This policy only applies to web sites that are considered to be abusive in service, disk space or resource consumption and where it is evident that the “fair-use” of resources among customers has been breached, particularly in regards to disk space, bandwidth or CPU processing power utilization. Additionally, web sites that are found to contain either/or no html documents, a large number of unlinked files are subject to warning, suspension or cancellation at the sole discretion of Host4Geeks.

If a “Fair-Use” breach occurs, which’s determination is solely up to Host4Geeks, subscriber may have to remove files from or reduce access to subscriber’s account to an extent as determined by Host4Geeks, in order to restore full serviceability to other subscribers affected by the breach. In any case, the subscriber will be notified of any actions that Host4Geeks may have to take.

Grounds for Suspension and Termination

You agree to comply with these Terms and Policies. Any violation of either, these Terms and Policies or the other rules, regulations or policies noted above may serve as cause for Host4Geeks to suspend or terminate your account. You agree that Host4Geeks has the right, with or without notice, to suspend or terminate your account upon the first or subsequent occurrence of any of the following

  • Using the Service in a way, which constitutes violation of any applicable statute, law, court order, tariff, regulation, or treaty (including, but not limited to, intellectual property, communications, privacy, criminal and international law)
  • Using the Service in a manner intended to abuse or violate the privacy or property rights of others, including but not limited to sending of unsolicited bulk e-mail (“spamming”); this ground for suspension or termination is separate from and in addition to the fees which will result from such activity. You agree to pay a clean up fee of $30 per hour if any of our server IP addresses appear on a blacklist as a result of spam from your account.
  • Using your hosting as a file or image hosting service.
    Using the Service in an attempt to break security, or so as to actually break security of any computer network (including the Service itself), or to access an account, message, or file which does not belong to you.
  • Using your account as a backup service. All files must be part of your website and must be linked to from your account. Dedicated server clients are exempted from this.
  • Using the Service in such a way as to forge or mis-represent headers, addresses, or other identification in electronic mail or websites, or using any other method to disguise the sender’s identity or location. This includes the hosting of Proxy Server applications.
  • Uploading, linking to or storing warez, cracks or other pirated software.
  • Hosting IRCD, image hosting sites, autosurf, port scanners, banner-ad services, escrow, banking, investment, lottery, gambling and pharmacy sites.
  • Hosting nulled or cracked versions of scripts or softwares and other licensed softwares and/or programs.
  • Assisting in or directly distributing copyrighted material.
  • Excessively using the Service in such a way as to limit the bandwidth available to others.
  • Providing fake or incomplete contact details, including name, postal address and telephone number.
  • Using the Service to operate server programs, including, but not limited to mail servers, IRC servers, game servers, ftp servers, Web servers, or streaming audio/video servers.
  • Using the Service for unauthorised relays through any third party systems.
  • Attempting, in any way, to interfere with or deny service to any user or any host on the Internet.
  • Performing a chargeback on any transactions past or present will result in account suspension until resolved. If a chargeback is issued we reserve the right to remove your account, impose a $50 fine per chargeback and deny any future business.
  • Any threat of legal action against Host4Geeks by a client will result in immediate account and service and agreement termination without refund. Additionally Host4Geeks shall cease all further communication with the client.
  • Using the Service for mail bombing, which includes any instance where multiple messages are sent to a specific destination with the intent to render the recipient and/or the electronic system serving that recipient dysfunctional.
  • Using the Service to add or attempt to add addresses to any mailing list (yours or a third party’s) without the explicit positive consent of the addressee(s).
    Attempting to cancel, supersede, or otherwise interfere with email other than your own.
  • Engaging in harassment, whether through language, frequency, or size of messages, either with email or website content.
  • Using the Service to engage in syn flood attacks, which are defined as overburdening a recipient computer system by sending a high volume of spurious data which effective impedes or totally disables functionality of the recipient system(s), or any other methods of denial-of-service attacks.
  • Furnishing false data on your sign-up form, contract, or online application, including providing fraudulent credit card or other payment information.
  • No bill credit will be given for a period of suspension. In the event of termination of your use of the Service under this section, Host4Geeks may at its sole discretion retain any or all amounts you have paid for use of the Service as liquidated damages for your actions.
  • Security – You agree not to access or attempt to access private areas of the Service. You agree to notify Host4Geeks as soon as you become aware of an unauthorized use of your account and/or any breach or attempted breach of security on the Service.
  • Intellectual Property – Host4Geeks does not undertake to examine or review messages, files, or other materials, which are accessible through, pass through, or reside on the Service. Complaints regarding alleged copyright infringement can be sent to [email protected]
    Child pornography, in any form is strictly forbidden on our servers and services.
  • Continuing a specific identification of the allegedly infringing material and the location(s) on Host4Geeks’s facilities where the materials are to be found. Upon receipt of such written notice, Host4Geeks will expeditiously remove or block access to the allegedly infringing material, and provide notice to the person who had posted that material. If Host4Geeks receives a notification from that person indicating that the claim of infringement was based upon mistake or misidentification, Host4Geeks will send you a copy of that notification. Unless you notify Host4Geeks of appropriate court action to restrain the alleged infringement, the challenged material will then be restored or otherwise made accessible again.
  • Liability – You agree that use of the Service is at your own risk. Except for information, products, or services clearly identified as being supplied by Host4Geeks, neither Host4Geeks nor any of its affiliate controls, provides, operates, or is in any way responsible for any information, products, or services accessible through the Service. Host4Geeks neither endorses nor is responsible for the accuracy of third-party material(s), and you agree that Host4Geeks is not responsible for any loss or damage caused by your use of, or reliance on, such material(s). You understand and agree that you have sole responsibility for your posting of any information or material to any site or newsgroup on the Internet, including but not limited to postings to Web sites, whether residing on Host4Geeks equipment or not, postings to newsgroups, and participation in any on-line chat sessions. You agree to indemnify and hold harmless Host4Geeks and its employees, and other customers and subscribers from and against any claims, losses, costs, liability, damages or expenses arising out of your postings.
  • You agree that, should you use the Service to send or receive voice communications, Host4Geeks is not acting as a telecommunications carrier or telephone company, that there is no representation made by Host4Geeks as to the suitability of the Service for such use, and that all risk of connection, transmission quality, and accuracy of communications is solely on you, and that Host4Geeks has no liability of any sort for the failure or lack of quality of such use of the Service.
  • You agree to be liable for any damages or loss of service which results in damages to Host4Geeks as a result of any spamming or other violations. These damages include, but are not limited to, system shut downs, retaliatory attacks or data flooding, and loss of peering arrangements. You agree that Host4Geeks may pursue any such claims against you in Court.
  • You agree that in no event will Host4Geeks have financial liability to you.
  • Warranty – HOST4GEEKS MAKES NO EXPRESS OR IMPLIED WARRANTIES, INCLUDING WARRANTIES OF TITLE, NON-INFRINGEMENT, AND WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, REGARDING THE SERVICE, OR ANY SOFTWARE OR OTHER MATERIAL AVAILABLE THROUGH THE SERVICE, REGARDLESS OF WHAT YOU MAY HAVE TOLD HOST4GEEKS ABOUT YOUR INTENDED USE OF THE SERVICE. NO ORAL ADVICE OR INFORMATION GIVEN BY HOST4GEEKS OR ITS EMPLOYEES SHALL CREATE A WARRANTY OR OTHERWISE ALTER THE PROVISIONS OF THIS SECTION.
  • THE SERVICE AND ANY SOFTWARE PROVIDED TO YOU BY HOST4GEEKS ARE PROVIDED ON AN “AS IS, AS AVAILABLE” BASIS; HOST4GEEKS DOES NOT WARRANT THAT THEY WILL BE ERROR-FREE AND/OR UNINTERRUPTED, OR THAT DEFECTS WILL BE CORRECTED. HOST4GEEKS DOES NOT GUARANTEE THE SECURITY OR BACK-UP OF ANY OF YOUR DATA WHICH MAY BE STORED ON THE SERVICE.
    SPAM and Unsolicited Commercial Email (UCE): Host4Geeks
  • takes a zero-tolerance approach to the sending of Unsolicited Commercial Email (UCE) or SPAM over our network. Very simply this means that customers of The Company may not use or permit others to use our network to transact in UCE. Customers of Host4Geeks may not host, or permit hosting of, sites or information that is advertised by UCE from other networks. Violations of this policy carry severe penalties, including termination of service.
  • Violation of Host4Geek’s SPAM policy will result in severe penalties. Upon notification of an alleged violation of our SPAM policy, Host4Geeks will initiate an immediate investigation (within 48 hours of notification). During the investigation, Host4Geeks may restrict customer access to the network to prevent further violations. If a customer is found to be in violation of our SPAM policy, Host4Geeks may, at its sole discretion, restrict, suspend or terminate customer’s account. Further, Host4Geeks reserves the right to pursue civil remedies for any costs associated with the investigation of a substantiated policy violation. Host4Geeks will notify law enforcement officials if the violation is believed to be a criminal offense.
  • First violations of this policy will result in an “Administrative Fee” of $300.00 and your account will be reviewed for possible immediate termination. A second violation will result in an “Administrative Fee” of $600.00 and immediate termination of your account. Users who violate this policy agree that in addition to these “Administrative” penalties, they will pay “Research Fees” not to exceed $300.00 per hour that Host4Geeks personnel must spend to investigate the matter. PLEASE, DO NOT SPAM from your servers.

Content

You understand and agree that information and access available through the Service may include controversial, sexually explicit, or other material that may be offensive to you or users for whom you are responsible. Host4Geeks has no responsibility for or control over such materials, and you take sole responsibility for using any available screening software or other methods of limiting access (specifically including the access of minors) to any material you may find objectionable.

Overages

By default Host4Geeks will suspend your services when your account limits such as Disk Space & Bandwidth are exhausted unless prior arrangements are made to either upgrade your plan or bill you at an agreed cost. Such overages will be charged at a cost agreed upon by the customer and Host4Geeks.

Disputes

All billing disputes must be brought to Host4Geeks’ attention by opening a ticket with our billing department within 45 days from the days of payment.

You agree that any dispute between you and Host4Geeks arising out of your use of the Service on in any way based upon your subscription to and/or use of the Service which cannot be resolved between you and Host4Geeks will be submitted by the aggrieved party for binding arbitration.

Billing

Fees for individual Services are set out on the page describing the Service (Fees). We will begin to charge you for those Fees on the Effective Date of that Service. Certain Fees are based on usage rate of the Services. These will be calculated as set out on the website describing the Fees, and added to the Fees. Other than usage based Fees, all Fees are billed in advance. Special promotions applied to Fees do not reoccur, nor will promotions offered to other customers necessarily be offered to you. Fees paid to third parties and set up fees are not refundable.

Invoices for renewal of a service is generated 14 days prior to the end of current term and is due on the date mentioned as the due date on the invoice.

If you provide us with a credit card to pay the Fees, we will attempt to charge your card no sooner than 2 days prior to the Due Date. It is your obligation to ensure that your credit card may be charged. We have no responsibility to provide the Services, or preserve data, if your credit card is declined for any reason.

Once an invoice is overdue, i.e past it’s due date a late fee of 10% but no lesser than $2 will be applied to the invoice.

Service associated to an overdue invoice will be suspended after a period of 3 days and terminated and all data removed after 7 days if the invoice continues to remain unpaid. Multiple reminders will be sent by Host4Geeks before suspending or terminating a service.

If an invoice is paid after the service has been terminated a reactivation fee of $25 will apply provided Host4Geeks is able to restore all of your data.

If multiple invoices are overdue in an account, all services in the given account or other accounts linked to this account may be affected.

Cancellation Procedure

Cancellation requests must be submitted through the client area. To do this, open a ticket with our Billing & Accounting department.

It is your responsibility to ensure any paypal subscriptions and/or recurring Credit Card subscriptions that you may have setup are cancelled, Host4Geeks will not be responsible for any funds paid to us in excess and will not refund them.

No other forms of cancellation are accepted.

Cancellations must be submitted before the invoice for that billing cycle is generated or at least 7 days before renewal. Failure to do so will result in the invoice being due. Cancellation requests can only be submitted if the account has no due invoices. Cancellation requests submitted after the invoice has been raised will incur a late cancellation fee of not less than $15 and not more than $100.

Migrations

Host4Geeks offers free Migration services as a courtesy with our cPanel hosting services. The number of accounts that can be migrated are as follows:
  • Shared & Semi-Dedicated Plans: 1 cPanel account.
  • Reseller Plans: 50 cPanel accounts.
  • Managed VPS Plans: 100 cPanel accounts.
  • Managed Dedicated Servers: 200 cPanel accounts.
Additional number of accounts migrated would incur a fee of $2 per account. The free migration service can only be availed once within a period of 30 days from the date of order, any requests past this timeline will incur a fee of $2 per cPanel account. cPanel environment.

Migration services are not available for Unmanaged VPS or Dedicated server customers or customers not coming from a cPanel environment.

Host4Geeks offers it’s migration services in an as-is basis and makes no guarantess or time commitments at all.
